What the filing says

Anthropic IPO news is now concrete: the company behind Claude filed its S-1 prospectus with the Securities and Exchange Commission (SEC) — the US body that polices public-company disclosures — on Monday. It said it plans to list on the Nasdaq under the ticker ANT. The firm has not yet set how many shares it will offer or at what price.

According to the filing, Anthropic recorded $16.3bn in revenue in the first half of 2026, up from $1.2bn in the same period a year earlier. Operating losses narrowed to $693m from $2.1bn in the first half of 2025. Net loss, however, reached $80.7bn, the company said, largely because of noncash accounting tied to convertible debt. Anthropic warned it “may not achieve or sustain profitability in the future.”

Claude customers and the growth story

Enterprise figures in the S-1 show how far Claude AI IPO interest is tied to big business spending. As of 30 September, Anthropic had more than 11,900 customers paying at least $100,000 a year; more than 1,900 paying $1m or more; and about 250 paying $10m or more.

More than half of customers spending $100,000-plus now use both the Claude Platform and a first-party app such as Claude Code or Cowork, up from about 30% at the end of last year. The company linked that cross-use to net revenue retention of about 900% as of the end of the third quarter, and described Claude as frontier AI spanning models, a developer platform, and apps rather than a single static product.

Control, compute and stated AI risks

Anthropic IPO news also covers who will steer the firm after a listing. A Founder LLC of seven co-founders — Dario Amodei, Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish, and Christopher Olah — would collectively control 50.1% of shareholder voting power, a setup the company says is meant to protect its AI safety mission. The Long-Term Benefit Trust, set up in 2023, would have authority to appoint most of the board.

The prospectus runs to hundreds of pages, with a large share devoted to risks. It also details huge compute commitments: about $3.1bn a month to SpaceX for access to Nvidia GPUs; $44.9bn with Microsoft through 2033; at least $114.5bn with Google through 2033; and $110bn with Amazon over the next ten years. Anthropic confidentially filed with the SEC in June and had faced weeks of speculation before Monday’s public document.
