SE Fruits withdraws IPO; SECP seeks stronger AOB powers

The Securities and Exchange Commission of Pakistan (SECP), the country’s corporate and capital-markets regulator, said on Friday it is initiating regulatory action over “material discrepancies” in the Initial Public Offering (IPO) prospectus of SE Fruits and Vegetable Limited. The Commission said those gaps were based on information in the company’s audited financial statements.

SE Fruits and Vegetable Limited is a fresh fruit and vegetable company. Last month it had secured SECP approval to issue, circulate and publish a prospectus for an IPO of 30 million ordinary shares. An IPO is when a company first offers its shares to the public to raise capital.

Offer halted, money returned

After the book-building stage—when institutional and other investors bid to help set the share price—SECP suspended further proceedings to protect investors. The company then voluntarily withdrew the IPO, saying it intends to come back later with enhanced disclosures. According to the SECP, subscription money has been refunded to investors.

The Commission said it is reviewing the SE Fruits IPO to fix responsibility for procedural irregularities. “Appropriate action will be taken where violations are established,” it said.

How an IPO is meant to work

Under Pakistan’s listing process, a company must set out its financial position, business plans and risks in a prospectus so buyers can decide with clear information. The company prepares records and disclosures; an external auditor examines the financial statements; a consultant to the issue runs due diligence, drafts the prospectus and files with the Pakistan Stock Exchange (PSX). The PSX listing committee reviews the file and seeks public comments. After observations are addressed and a due diligence certificate is filed, PSX decides on listing and SECP decides on the prospectus.

Once approved, the prospectus is published on PRIDE (Public Offerings Revolutionised through an Integrated and Digitised Experience), SECP’s public-offer platform, and book building can begin. The SECP noted that under Sections 134 and 136 of the Securities Act, 2015, fraudulently inducing securities transactions and making false or misleading statements are criminal offences.

Audit oversight under scrutiny

Accurate accounts and reliable audits underpin fair share prices, sound bank lending and correct tax assessments, the SECP said; misleading accounts can hurt investors, lenders and government revenue. “The case highlights the need to strengthen the Audit Oversight Board (AOB),” it said. The AOB is the body meant to supervise auditors’ quality and independence.

SECP stressed aligning its legal framework with international practice and principles of the International Forum of Independent Audit Regulators (IFIAR), a global grouping of audit watchdogs. It said auditors act as gatekeepers of financial integrity abroad, and that to hold them accountable the AOB needs effective inspection and enforcement powers, adequate technical staff and stable funding.

Aasan alfaaz mein

Aam investors ke liye yeh ishara hai ke prospectus aur audit pe bharosa karne se pehle regulator ki nazar zaroori hai.
