Cherat Cement Company Ltd. has moved to take control of Nimir Industrial Chemicals Ltd. under a Cherat Cement acquisition that starts with a 51% stake valued at about Rs19.2 billion, with a second pact lifting the total buy toward more than Rs24 billion, according to notices filed with the Pakistan Stock Exchange (PSX, the country’s main stock market) on Monday.

What the share deals cover

On 30 October 2026 the cement maker entered two share purchase agreements with Nimir shareholders. Under the first, it will acquire 56.40 million ordinary shares—equal to a 51% stake—from Nimir’s majority shareholders at an agreed price of Rs340 per share. That block alone is valued at roughly Rs19.2 billion.

A second agreement covers 14.46 million shares, or about 13.07%, from certain non-controlling shareholders at the same Rs340 price. Together the pacts cover about 70.86 million shares, or roughly 64.07% of Nimir’s issued share capital, for an aggregate consideration of over Rs24 billion (about $86.6 million on the figure cited in the company disclosure material).

Approvals still needed

Completion remains subject to regulatory and other approvals and to conditions set out in the agreements, the companies said in their PSX disclosures under the Securities Act 2015 and exchange rules. Muhammad Inam ur Rahim, company secretary at Nimir, signed Nimir’s notice. Neither side named the selling shareholders or gave a target date for closing the Cherat Cement acquisition.

Why the companies matter

Cherat Cement is a listed producer that makes, markets and sells cement. It has installed capacity of around 4.5 million tons a year, mainly serving northern Pakistan, and also ships cement to Afghanistan. Nimir Industrial Chemicals, also listed on the PSX, manufactures and markets chemicals, including caustic soda and related products used in textiles, soaps and detergents. The buy would give the cement group a foothold in industrial chemicals while manufacturers nationwide face high energy and financing costs.
