Citi Pharma Limited has received Competition Commission of Pakistan (CCP — Pakistan’s competition regulator) authorisation to acquire 100% of Pakheim International Pharma (Private) Limited. The listed company told the Pakistan Stock Exchange in a Monday filing that the Citi Pharma Pakheim acquisition CCP approval rests on a CCP order dated 9 October 2026 in Case No. 1614/Merger-CCP/2026.
The CCP granted clearance under Section 31(1)(d)(i) of the Competition Act, 2010 after concluding the transaction does not raise competition concerns. The company said the purchase will move ahead under the Share Purchase Agreement dated 6 May 2026 once remaining legal, regulatory and other formalities are finished.
Why Citi Pharma wants Pakheim
Citi Pharma first announced the plan in May as part of its growth strategy. It said the deal should help it use operational synergies, improve production efficiency and widen its presence in local and international markets.
At that time, the company said Pakheim generates annual revenue of about Rs500 million. Management plans to raise that figure to Rs5 billion over the next five years through a broader product portfolio, stronger distribution and fresh manufacturing investment.
Funding, APIs and trading plans
The company has described a flexible payment schedule running until 31 December 2026, to be funded from operational cash flows. Citi Pharma also expects the acquisition to bolster its active pharmaceutical ingredient (API — the raw chemical used to make finished medicines) business.
Pakheim is expected to buy APIs directly from Citi Pharma, which the firm says should lift API sales and improve plant utilisation. The company further said the deal would give it a new brand identity in the trading segment, helping expand its customer base and trading volumes.
