Marvell Technology is buying optical components maker Lumentum in a $115 billion all-stock deal, including debt, in a major Marvell Technology AI data center bet that pits the custom chipmaker against larger rival Broadcom. The agreement, announced on Monday, is among the largest deals of 2026 and one of the boldest wagers yet on sustained spending to build AI infrastructure.
Investors, however, are testing that wager. Chip stocks have sold off as markets question whether AI outlays can keep rising while margins tighten and cash flow slows. Before the open, Lumentum shares were down 6.5% and Marvell 2.3%. Both names had already slipped sharply after deal talks first surfaced late last month.
Why optical gear matters for AI racks
Lumentum makes photonic products such as high-performance lasers and optical parts used to move data at high speed in AI, cloud and communications networks. Marvell is roughly twice Lumentum’s size and is betting that big technology companies will keep spending so that demand for those parts stays ahead of supply.
Chief executive Matt Murphy, who will stay chairman and CEO of the combined group, said AI infrastructure is shifting toward optical connectivity and called it a once-in-a-generation opening. He said the company aims to shape the next era of AI connectivity and deliver stockholder value.
Axel Rudolph, chief technical analyst at IG Group, said pairing Marvell’s custom chips and networking know-how with Lumentum’s optics could strengthen its hand as data centres need faster, more energy-efficient links. He also warned the price tag is huge and that investors are right to ask whether Marvell is paying and taking on too much at once.
Deal terms, ownership and timeline
Under Monday’s terms, Marvell will pay $1,132 a share in stock — a 23.9% premium to Lumentum’s last unaffected close on October 28. That implies an equity value of about $102.54 billion. Lumentum shareholders will receive 4.5 Marvell shares for each Lumentum share and hold roughly 33% of the combined company on a fully diluted basis.
Marvell said the purchase would lift the combined total addressable market to $550 billion. Both boards approved the deal unanimously. Closing is expected in the first half of calendar 2028. If Marvell’s board drops support or walks away for another offer, it would owe Lumentum a $5.8 billion termination fee; Lumentum would owe $2.9 billion in similar cases. Marvell would also pay $3.2 billion if regulators block the deal.
Competition, forecasts and related moves
The deal adds scale as Marvell contests Broadcom, long Alphabet-owned Google’s main custom-chip partner and a supplier of a wide AI data centre hardware menu. In August, Marvell agreed to supply chips that sit alongside Google’s AI processors, with sales of up to $120 billion through fiscal 2033 and an option for Google to buy a $12.2 billion stake.
At its October investor day, Marvell projected fiscal 2031 sales of $70 billion to $90 billion, with about $37.5 billion from interconnect — a market it expects to grow 65% a year to $65 billion by 2030. That outlook underpins Marvell Technology AI data center revenue ambitions tied to networking and optics.
Nvidia earlier this year invested $2 billion each in Marvell and Lumentum and did not immediately comment on the acquisition. Marvell’s market value has risen above $170 billion on custom AI chip and networking work for firms such as Amazon. Annual revenue rose from $3 billion in fiscal 2021 to $8.2 billion in fiscal 2026. In February it closed a $3.5 billion purchase of Celestial AI. The Lumentum deal is its largest since the $10 billion Inphi buyout in 2021.
Lumentum, which competes with US-listed Coherent and China’s Zhongji Innolight, could gain if a proposed US ban on new Chinese optical transceivers shifts demand to domestic suppliers. Separately, it guided second-quarter revenue to $1.58 billion–$1.63 billion, above the $1.48 billion analyst average compiled by LSEG.

Aasan alfaaz mein
Marvell Technology ne Lumentum ko roughly $115 billion ke deal mein kharidne ka elaan kiya hai. Yeh deal AI data center ke liye tez optical connections par hai. Dono company ke shares pehle se pressure mein hain kyunke bazaar AI kharchon ki sustainability par shak kar raha hai. Agar aap tech stocks follow karte hain, toh yeh baat ghaur talab hai ke deal 2028 ke pehle half mein close hone ka irada hai.
